These Terms and Conditions govern the provision and use of services provided by Group Piex Limited (“we,” “us,” “our”). By engaging in our services, you (“Client”) agree to the following Terms and Conditions.
Business-to-Business Services: Our services are provided on a business-to-business basis only. By engaging Group Piex Limited, the Client confirms that they are acting wholly or mainly for the purposes of their trade, business, profession or organisation and not as a consumer.
These Terms apply to businesses, companies, partnerships, sole traders, charities, organisations and other clients acquiring our services for business or professional purposes, whether based in the United Kingdom, United States or another territory accepted by Group Piex Limited.
1. Services Overview
Group Piex Limited provides web development, website maintenance and support, SEO, hosting, third-party hosting maintenance/support services, and other related digital services.
Where required, Group Piex Limited may engage an independent contractor based in the United States to assist with specific technical services, primarily related to hosting infrastructure and server-level solutions. Such contractors act independently and are not employees, partners, or agents of Group Piex Limited.
Group Piex Limited remains the sole contractual party with the client unless otherwise expressly agreed in writing. We do not act as an intermediary, broker, or payment processor between clients and any third parties.
Group Piex Limited is not responsible or liable for disputes, losses, or damages arising from services provided directly by third-party contractors outside the scope of our agreed services. Our responsibility is strictly limited to the services expressly agreed upon in writing with the client.
2. Project Scope and Delivery
Group Piex Limited endeavors to meet project deadlines and deliver projects as agreed. However, we cannot guarantee strict adherence to deadlines due to unforeseen circumstances, changes in scope or external factors beyond our control. In the event of a delay, we will notify the client promptly and make every effort to complete the project as soon as possible.
We are not liable for any delays, costs, or losses caused by third-party services, client responsiveness, changes in requirements, or any other factors outside our direct control. Any timeline adjustments will be discussed with the client and agreed upon.
3. Hosting and Third-Party Hosting Support
Group Piex Limited provides hosting services for clients’ websites and also offers support for third-party hosting environments. We take reasonable and appropriate measures to maintain the security and stability of hosted websites, but we cannot guarantee zero risk.
Client Responsibility for Passwords: Clients are responsible for maintaining the security of their login credentials and account information. Group Piex Limited is not responsible for any security breaches or hacks resulting from weak, compromised or poorly managed passwords. We recommend the use of strong passwords and regular updates to minimise risks.
Third-Party Hosting Management: When maintaining a client’s website on third-party hosting, Group Piex Limited cannot guarantee the security of the third-party hosting environment. We will, however, work to mitigate security risks and maintain optimal performance. Clients acknowledge that third-party hosts may have their own vulnerabilities and Group Piex Limited is not liable for breaches that occur due to issues within the third-party host’s infrastructure.
Response to Security Breaches: Where Group Piex Limited is responsible for maintaining or supporting the affected website under an active service agreement, we will use reasonable efforts to assess the reported or detected security incident and take appropriate action within the scope and priority level of the applicable service.
Appropriate action may include investigation, containment, restoration from an available suitable backup, malware removal or other remediation where agreed and reasonably possible.
The extent of incident response and recovery work included depends on the client’s active service or Care Plan. Extensive malware removal, reconstruction, server level recovery, third party account recovery or other substantial remediation may require separately chargeable Development & Technical Support.
Security incidents may require temporary website downtime while investigation or recovery work is carried out. No website or security service can guarantee complete protection against compromise or uninterrupted availability.
Downtime During Cleanup: Clients acknowledge that the process of cleaning up and securing the website following a breach may result in temporary downtime. Group Piex Limited will make every effort to minimise downtime and restore service as quickly as possible.
Liability for Third-Party Breaches: Group Piex Limited is not responsible for security breaches or hacks that occur due to vulnerabilities within third-party hosting providers or client-managed environments. Our role is limited to maintaining and managing the website as per agreed-upon services and we will work with the client and third-party providers to restore security where necessary.
3.1 Mandatory Client Security Measures for Hosted Websites
Where a client chooses to host their website with Group Piex Limited, the client must take all reasonable and necessary steps to safeguard their login credentials and account access. This includes, but is not limited to:
- Using a secure, reputable password manager to store and manage all hosting, CMS, and related service logins.
- Enabling and maintaining two-factor authentication (2FA) on all applicable accounts.
- Obtain our written approval from Group Piex Limited before installing, or arranging for the installation of, any WordPress plugins or themes on a hosted website, to ensure security, compatibility, and stability.
Compliance with these measures is a strict, non-negotiable, ongoing condition of our hosting services. Failure to comply with these security measures constitutes a material breach of this agreement and may result in immediate suspension or termination of hosting services without notice.
In such cases, we will take a full backup of the client’s website and provide it to facilitate migration to another hosting provider. Any downtime, disruption of service or loss of trade resulting from termination of hosting under this clause is entirely the responsibility of the client, and Group Piex Limited accepts no liability for such outcomes.
We take security seriously and expect all clients to adopt equivalent diligence in protecting their own accounts and data.
4. Custom Code, Content Creation and Intellectual Property
Ownership of Custom Code: Unless otherwise agreed in writing and specified within the project scope, all custom code, including snippets, logic, and functionalities developed by Group Piex Limited, remains the intellectual property of Group Piex Limited. This includes any work produced by third parties engaged by us on behalf of the client.
Reuse and Resale of Code: Group Piex Limited reserves the right to reuse, repurpose or resell any custom code or logic developed during a client project in future projects, products or services, unless otherwise agreed in writing, signed by both parties, and subject to additional fees. If exclusive ownership of the custom code is required by the client, this must be agreed upon before the project begins and additional costs will apply.
Ownership of Paid Content Creation: Subject to full payment of all applicable invoices, any original content creation services specifically paid for by the client, including written content, copy, graphics, images, and other non-code creative deliverables created by Group Piex Limited for the client’s project, shall transfer to the client upon termination, cancellation, or cessation of the relevant services.
Excluded Intellectual Property: For the avoidance of doubt, the transfer of rights under this clause applies only to paid content creation deliverables and does not apply to any custom code, software, scripts, plugins, themes, frameworks, systems, automations, development logic, proprietary processes, pre-existing materials, licensed third-party assets, or tools used in delivering the services, all of which remain owned by Group Piex Limited or the relevant third-party owner unless otherwise agreed in writing.
Third-Party and Licensed Assets: Any stock imagery, fonts, templates, third-party licensed assets, or other materials supplied under licence are not transferred to the client except to the extent permitted under the relevant licence terms. The client is responsible for complying with any ongoing third-party licence requirements where applicable.
5. Client Responsibilities
Clients are responsible for providing all necessary materials, assets and approvals in a timely manner to enable the completion of services. Delays in providing the required information or feedback may result in delays in project delivery. Any changes in project scope must be communicated in writing, agreed to by us in writing, and may result in revised fees, timelines, and deliverables.
Where the client has chosen to host their website with Group Piex Limited, they must comply with the Mandatory Client Security Measures set out in clause 3.1 of these Terms and Conditions. This includes:
- Using a secure, reputable password manager to store and manage all hosting, CMS, and related service logins, and enabling two-factor authentication (2FA) on all applicable accounts.
- Obtain our written approval from Group Piex Limited before installing, or arranging for the installation of, any WordPress plugins or themes on a hosted website, to ensure security, compatibility, and stability.
Failure to follow these requirements constitutes a material breach of these Terms and Conditions and may result in immediate suspension or termination of hosting services in accordance with clause 3.1.
6. Klarna Credit Options
Group Piex Limited offers clients the option to pay for services using Klarna via Stripe. The following options are available:
Pay in Instalments: Clients can split the cost of services into 3 or 4 interest-free payments, paid every 2 weeks.
Pay Later: Clients may have an additional 30 days to complete their payment, interest-free.
Financing: Clients can apply for credit and if approved by Klarna, pay off the balance over 6 to 36 months.
Eligibility and Responsibility: Approval for any Klarna payment option is subject to Klarna’s own criteria and credit assessment. Group Piex Limited has no control over Klarna’s approval decisions and is not responsible for clients’ ability to meet Klarna’s criteria. All financial agreements and obligations are between the client and Klarna.
Should clients choose Klarna for payment, Group Piex Limited is fully protected from any claims, recovery actions or legal liabilities related to the credit process managed by Klarna.
7. Credit and Payment Plans Offered by Group Piex Limited
From time to time, Group Piex Limited may offer credit or payment plans directly to clients, allowing them to pay off invoices over an agreed period. By accepting such a plan, the client agrees to the following terms:
Credit Approval: Credit or payment plans are offered at the sole discretion of Group Piex Limited and may require a credit assessment.
Payment Schedule: Clients must adhere to the agreed payment schedule. Failure to make payments on time may result in the suspension of services and the cancellation of the payment plan.
Interest and Fees: Group Piex Limited reserves the right to charge interest or administrative fees for payment plans. Any applicable fees will be disclosed and agreed upon before the plan is initiated.
Default: In the event of a default on payments, the full outstanding balance becomes immediately payable and Group Piex Limited reserves the right to engage debt recovery services. Clients will be liable for all additional costs incurred in the debt recovery process.
Termination of Services: Group Piex Limited may terminate services if payment obligations are not met.
8. Payment Terms and Debt Recovery
Payment of Invoices: All invoices issued by Group Piex Limited must be paid as instructed and by the due dates specified on the invoices or communicated directly to the client. Failure to meet these payment terms may result in immediate suspension of services, withholding of deliverables, or termination of the project.
Late Fees and Interest on Overdue Payments:
If payment is not received within 30 days of the due date, Group Piex Limited reserves the right to charge interest on the overdue balance. Interest will be calculated at 8% above the Bank of England base rate, as permitted under the Late Payment of Commercial Debts (Interest) Act 1998. This interest will be added to the outstanding balance and accrue daily until the payment is received in full.
Outstanding Payments and Debt Recovery:
If a client fails to pay the outstanding balance after the interest period, Group Piex Limited reserves the right to engage a debt recovery agency to pursue the unpaid amount. All additional fees and costs incurred in the debt recovery process will be passed on to the client.
8.1 Payment Security & Fraud Prevention
Group Piex Limited takes security seriously and implements reasonable measures to protect clients from fraud, phishing, and cybercrime. However, we cannot be held responsible for any fraudulent transactions resulting from third-party interference.
Client Responsibility:
Clients must independently verify all payment details directly with Group Piex Limited before transferring any funds.
Group Piex Limited will never request or change payment details via email.
Any request to change payment details received by email must be treated as fraudulent.
Verification must be carried out by contacting Group Piex Limited using the official telephone number provided directly by us, including on an invoice, signed agreement, or our official website. Clients must not rely on telephone numbers supplied via email, messaging platforms, or third-party communications.
Group Piex Limited accepts no liability for payments made following verification using any telephone number or contact method not officially provided by us.
Group Piex Limited is not liable for payments made to fraudulent accounts as a result of email compromise, phishing attacks, social engineering, or failure by the client to follow the verification requirements set out in this clause.
Fraud Prevention Best Practices:
Clients should enable two-factor authentication (2FA) for financial transactions where available.
Always confirm invoice and payment details using official contact information provided by Group Piex Limited.
Report any suspected fraudulent activity immediately to Hello@grouppiex.co.uk.
By engaging in our services and making payments to Group Piex Limited, clients acknowledge and agree to these payment security requirements.
9. Digital Product Sales and Refunds
Third-Party Marketplace Refunds: For digital products purchased on third-party marketplaces (e.g., OpenCart Marketplace), any requests for refunds or disputes are handled directly by the platform through which the product was purchased. Group Piex Limited holds no responsibility for handling refunds on third-party platforms.
Official Supplier Responsibility: Clients are responsible for ensuring that they purchase digital products from an official Group Piex Limited supplier. Group Piex Limited holds no responsibility for products obtained through unauthorised sources or piracy.
Piracy and Unauthorised Use: Group Piex Limited actively monitors the use of our products and will take appropriate legal action if we find our products being used without proper licensing. Digital products are sold on a per-domain basis, meaning that unless otherwise agreed, the product is only authorised for use on a single domain or store, not across multiple domains or stores.
10. Limitation of Liability
10.1 Standard of Service
Group Piex Limited will provide its services with reasonable care and skill and in accordance with the scope of services agreed with the Client.
Unless expressly agreed in writing, our services are provided on a reasonable-care-and-skill basis and we do not guarantee any particular commercial, technical, security, search-engine, availability, performance, sales, revenue or other business outcome.
10.2 Liability That Is Not Limited
Nothing in these Terms excludes or limits either party’s liability for:
(a) death or personal injury caused by its negligence;
(b) fraud or fraudulent misrepresentation; or
(c) any other liability that cannot lawfully be excluded or limited under the laws of England and Wales.
10.3 Excluded Losses
Subject to clause 10.2, Group Piex Limited shall not be liable, whether in contract, tort (including negligence), breach of statutory duty, misrepresentation, restitution or otherwise, for:
(a) any indirect or consequential loss;
(b) loss of profit or anticipated profit;
(c) loss of revenue;
(d) loss of business or contracts;
(e) loss of opportunity;
(f) loss of anticipated savings;
(g) loss of goodwill or reputation; or
(h) business interruption,
arising out of or in connection with the services, whether or not such loss was foreseeable, to the fullest extent permitted by law.
10.4 Overall Liability Cap
Subject to clause 10.2, Group Piex Limited’s total aggregate liability arising out of or in connection with a particular service, engagement or series of related events shall not exceed:
(a) for an ongoing or subscription-based service, the total fees paid or payable by the Client to Group Piex Limited for that specific service during the twelve (12) months immediately preceding the event giving rise to the claim, or, where the service has been active for less than twelve months, the total fees paid or payable since the service commenced; or
(b) for a one-off project or service, the total fees paid or payable by the Client for that specific project or service.
The limitations in this clause apply to the total of all claims arising from the same or related events and are not separate limits for each individual claim.
10.5 Third-Party Services and External Events
Group Piex Limited shall not be liable for loss, damage, delay, interruption or failure caused by matters outside our reasonable control, including failures, vulnerabilities, outages, changes or actions relating to:
(a) hosting providers;
(b) domain registrars;
(c) DNS providers;
(d) Cloudflare or other content-delivery or security providers;
(e) email providers;
(f) payment gateways, banks or financial services;
(g) search engines;
(h) social-media platforms;
(i) third-party APIs, software or online services;
(j) plugins, themes, extensions, custom code or other software not developed or supplied by Group Piex Limited;
(k) internet, telecommunications or infrastructure failures;
(l) malicious activity or cyberattacks that could not reasonably have been prevented through the services Group Piex Limited was contracted to provide; or
(m) acts or omissions of the Client, its staff, contractors, suppliers or other third parties.
Where reasonably possible and within the agreed service scope, Group Piex Limited may assist the Client in investigating or resolving such issues, but responsibility for the operation and availability of third-party services remains with the relevant third party.
10.6 Client Changes and Access
Group Piex Limited shall not be responsible for faults, security incidents, incompatibilities, data loss or other problems caused or materially contributed to by:
(a) unauthorised or unapproved changes made by the Client or another person;
(b) installation, removal or modification of plugins, themes, code or other software without our approval where approval is required under these Terms;
(c) compromised, shared, weak or improperly managed credentials;
(d) failure by the Client to follow reasonable security or technical recommendations;
(e) inaccurate or incomplete information supplied by the Client; or
(f) the Client preventing or materially restricting Group Piex Limited from performing agreed maintenance, security or remedial work.
10.7 Data and Backups
Where Group Piex Limited provides backup or recovery services, we will use reasonable care and skill in providing those services.
No backup, hosting or data-storage system can guarantee that data will always be available, complete or recoverable.
Group Piex Limited shall not be responsible for loss or corruption of data caused by third-party infrastructure, Client actions, malicious activity or circumstances outside our reasonable control, except to the extent that such loss is directly caused by our failure to exercise reasonable care and skill and subject to the limitations of liability set out in this clause.
10.8 Mitigation of Loss
Each party must take reasonable steps to minimise any loss or damage it suffers arising from or in connection with the services.
10.9 Separate and Continuing Provisions
Each limitation and exclusion in this clause operates separately.
If any part of this clause is found to be invalid or unenforceable, the remaining provisions shall continue to apply to the fullest extent permitted by law.
This clause survives termination or expiry of the relevant services.
11. Governing Law and Jurisdiction
These Terms and Conditions and any dispute or claim, including any non-contractual dispute or claim, arising out of or in connection with them, their subject matter, formation, interpretation, performance or the services provided by Group Piex Limited shall be governed by and construed in accordance with the laws of England and Wales.
The Client and Group Piex Limited irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.
This applies regardless of whether the Client is established in the United Kingdom, United States or another country.
Nothing in this clause prevents Group Piex Limited from taking such steps as may be lawfully necessary in another jurisdiction solely to recognise or enforce a judgment or order obtained from a court of England and Wales, or to seek appropriate interim or protective relief where available.
12. Non-Payment and Termination
Failure to make payments as agreed may result in the suspension of services or termination of the project. If a client is in breach of these terms or fails to meet payment obligations, Group Piex Limited reserves the right to cease services and withhold any deliverables until the outstanding balance is paid in full.
In the case of termination of services, the client remains liable for any work completed up to the date of termination.
Where the client has paid in full for original content creation deliverables, including written content and images, ownership of those specific non-code deliverables will transfer to the client on termination in accordance with clause 4, but all provisions relating to custom code shall remain unchanged.
13. Force Majeure
Group Piex Limited shall not be liable for any failure or delay in the performance of services resulting from events beyond our reasonable control, including, but not limited to, acts of God, war, terrorism, strikes, pandemics, governmental restrictions, or failure of third-party services (e.g., internet service providers, hosting providers).
14. Client Indemnity
The Client shall indemnify Group Piex Limited against reasonable losses, liabilities, damages, costs and expenses, including reasonable legal and professional costs, arising from a third-party claim to the extent that the claim results from:
(a) content, data, images, trademarks, software or other materials supplied or instructed for use by the Client which infringe another person’s intellectual-property or other legal rights;
(b) unlawful, misleading, defamatory, fraudulent or otherwise prohibited content, products, services or instructions supplied or authorised by the Client;
(c) the Client’s material breach of these Terms and Conditions;
(d) the Client’s breach of applicable law in connection with the services;
(e) the Client’s failure to comply with the Mandatory Client Security Measures in clause 3.1;
(f) unauthorised changes, software, plugins, themes, code or access introduced by the Client or a third party acting on the Client’s behalf; or
(g) misuse of the services by the Client or persons authorised by the Client.
The Client shall not be required to indemnify Group Piex Limited to the extent that the relevant loss or claim was caused by Group Piex Limited’s own negligence, breach of contract, fraud or other wrongful act.
Group Piex Limited shall take reasonable steps to mitigate losses for which indemnification is sought under this clause.
15. ICO Compliance
Group Piex Limited is registered with the Information Commissioner’s Office (ICO) in accordance with UK data protection regulations. We are committed to handling personal data responsibly and in compliance with applicable laws. For more details on how we manage your data, please refer to our Privacy Policy.
16. Amendments and Updates
Group Piex Limited may update these Terms and Conditions from time to time to reflect changes in law or regulation, security requirements, our services, third-party requirements, operational practices or other reasonable business requirements.
Material changes affecting an active ongoing service will be communicated to affected clients with reasonable notice where practical.
Changes will not retrospectively alter work already completed or a separately agreed fixed project scope unless required by law or expressly agreed with the client.
Pricing changes are governed separately by clause 27.
Where a material change significantly affects an ongoing service, any applicable cancellation rights will continue to apply. Nothing in this clause affects any statutory rights that cannot lawfully be excluded or restricted.
17. Dispute Resolution
We are committed to resolving disputes amicably wherever possible. Clients are encouraged to reach out to us directly in the event of any concerns or disputes related to our services. If a resolution cannot be reached, the matter will proceed as outlined under the “Legal Jurisdiction” section.

20. Charity Discount Offer
Group Piex Limited is proud to support charities by offering varied discounts on our WordPress and WooCommerce development services. This offer is designed to help registered charities establish or improve their online presence.
The following conditions apply to the Charity Discount Offer:
Eligibility: This offer is available to registered charities only. Proof of charity registration will be required before any discounts are applied.
Discount Limitations: The discount applies solely to the initial design and development costs for new WordPress or WooCommerce websites. Any additional services, including ongoing maintenance, support, updates or further development, are charged at our standard rates.
Exclusions: The discount does not apply to custom plugin development, third-party integrations or hosting services. Any advanced customisations beyond the scope of the discounted project will be quoted separately.
Project Scope: The discounted offer applies to standard website development as outlined in the project agreement. Any changes to the agreed-upon scope will require additional charges and the discount may not apply to the updated project.
Mutual Promotion Requirement: As part of the discounted rate, the charity agrees to promote Group Piex Limited in their communications, website, or social media, recognising the discounted service provided. This requirement helps promote a beneficial working relationship between Group Piex Limited and the charity.
Termination of Services: If a charity discontinues the project or violates the terms of service, Group Piex Limited reserves the right to revoke the discount and charge full price for the services rendered up to that point.
Amendment or Withdrawal: Group Piex Limited reserves the right to amend or withdraw this charity discount at any time without notice, though such changes will not affect agreements already in place. By accepting this offer, the client acknowledges and agrees to these terms.
21. WordPress Care Plans
Group Piex Limited provides WordPress Care Plans offering ongoing website maintenance, security monitoring, preventative maintenance and technical oversight. The exact services included depend on the Care Plan selected and the scope shown on our website, quotation, proposal or other written agreement at the time the service is purchased.
Care Plans are intended to provide ongoing care for an existing website. They are not unlimited development, content creation, consultancy, SEO or emergency support agreements unless specifically stated otherwise.
Minimum Term and Cancellation
Care Plans have an initial minimum term of three (3) months from the agreed service start date. After the initial minimum term, the Care Plan continues on a monthly basis until cancelled.
After the initial minimum term, either party may cancel the Care Plan by providing at least thirty (30) days’ written notice.
Cancellation notice may be provided during the initial minimum term, but cancellation will not normally take effect before that minimum term has been completed.
Plan upgrades may be agreed at any time. Plan downgrades are subject to the suitability of the website for the lower level of cover and will normally take effect following at least thirty (30) days’ notice.
Included Support Time
Where a Care Plan includes a monthly support allowance, this allowance may be used for suitable minor website changes, troubleshooting, configuration work and other agreed requests that fall within the scope of the plan.
Routine maintenance, monitoring and technical oversight carried out as part of the Care Plan do not use the included support allowance.
Unused support time does not roll over, accumulate or have any cash value and expires at the end of each monthly service period.
Requests exceeding the available support allowance, or falling outside the scope of the Care Plan, may be provided separately through our Development & Technical Support services at the applicable rate or quotation.
New Pages, Content and Development
Unless specifically agreed otherwise, Care Plans do not include the creation of new pages, substantial content writing or rewriting, keyword or competitor research, new website functionality, bespoke integrations, custom development, major redesign work or other substantial website projects.
Such work may be provided separately through our Development & Technical Support services.
Onboarding and Existing Websites
Where Group Piex Limited did not build or does not already actively maintain the website, an onboarding or website health assessment may be required before Care Plan cover begins.
Existing malware, compromises, vulnerabilities, unsupported software, significant faults, configuration problems or other pre existing issues identified during onboarding are not automatically included within the Care Plan.
Where remedial work is required before ongoing maintenance can safely begin, this will be discussed with the client and may be separately chargeable.
Security Monitoring and Security Incidents
Care Plans are designed to reduce website security risk through appropriate maintenance, monitoring and preventative measures. No website, hosting environment, firewall, security product or monitoring system can guarantee complete protection against hacking, malware, data loss or other security incidents.
Where a potential security incident is identified or reported, the Care Plan includes an initial assessment within the scope of the selected plan.
Where appropriate, Group Piex Limited may take reasonable steps to investigate, contain or mitigate an incident.
Malware removal, website cleanup, reconstruction, server level recovery, recovery of third party accounts, substantial data restoration or other extensive incident response work is not automatically unlimited or included with every Care Plan. Where such work is included within a particular Care Plan, it remains subject to the reasonable scope and support allowance of that plan.
Work outside the included scope may be provided separately through Development & Technical Support or another agreed service.
Backups and Restoration
Where backups are included within a Care Plan, Group Piex Limited will use reasonable measures to maintain suitable automated backups using the available hosting, backup or third-party infrastructure.
Where appropriate and technically possible, a suitable recovery point may also be created before higher risk managed changes.
Although backups significantly reduce the risk of permanent data loss, no backup system can guarantee successful recovery in every circumstance. Backup availability, retention and restoration may also depend on hosting providers or other third party systems.
Straightforward restoration assistance is provided within the scope of the applicable Care Plan. Extensive reconstruction, data recovery or remediation may require additional Development & Technical Support.
Priority Support and Response Targets
Care Plan priority levels determine how support requests are prioritised when multiple requests are being handled.
Any stated response time is a target for the initial acknowledgement or assessment of a request during our normal support arrangements. It is not a guaranteed resolution time, repair time or service level agreement unless specifically agreed otherwise in writing.
Care Plans do not provide guaranteed twenty four hour, seven day a week monitoring, staffing or emergency response.
Where immediate work requires disruption to scheduled work, or where work is accepted outside normal support arrangements, additional priority or emergency charges may apply.
Third Party Services
Website operation may depend on third party services including hosting providers, domain registrars, Cloudflare, email providers, payment gateways, plugins, themes and other external platforms.
Group Piex Limited will provide reasonable assistance with relevant third party services where included within the selected Care Plan but cannot guarantee the availability, security, performance or actions of third party providers.
Third party charges, licences, subscriptions and premium services are not included in Care Plan pricing unless specifically stated otherwise.
No Guarantee of Business Outcomes
Care Plans are provided on a preventative and best-efforts basis. Group Piex Limited does not guarantee uninterrupted website availability, complete protection from security incidents, successful email delivery, search engine rankings, sales, enquiries, conversions or other business outcomes.
22. Development Hours
Development hours are available for purchase on a one-off basis or as part of a subscription plan.
Expiration: One-off development hours purchased expire after 3 months from the date of purchase.
Subscription Notice: Development hours purchased via a subscription plan require one full month’s notice for cancellation or changes.
23. SEO Services and Liability
Group Piex Limited provides SEO and Local SEO services on a best-effort basis, using proven strategies and best practices to improve the client’s online presence and search engine rankings. However, the client acknowledges and agrees that SEO results cannot be guaranteed due to factors beyond our control, including but not limited to search engine algorithms, competitor activity, and market changes. As such, Group Piex Limited cannot be held liable for any specific ranking positions, traffic levels, visibility, conversions, or business outcomes resulting from SEO services, search engine algorithm changes, market conditions, competitor activity, or any changes to website content, copy, metadata, structure, or product descriptions requested by, supplied by, or approved by the client.
By engaging in our SEO services, the client accepts that SEO is a long-term strategy and agrees to our approach focused on gradual improvement rather than immediate results. Group Piex Limited shall not be liable for any losses, damages, missed opportunities, or ranking decreases resulting from expected or perceived SEO outcomes, including where content or product description changes are implemented at the client’s request or with the client’s approval.
Link Building: Group Piex Limited does not offer link building as part of our Local SEO services. While backlinks can be valuable for SEO, we encourage business owners to seek out backlinks organically. However, if we identify genuine opportunities to obtain backlinks while building citations on business listing profiles, we will take appropriate action. We do not engage in paid link-building practices or guest post activities, as these can result in penalties from search engines. Clients should exercise caution when engaging in any form of paid link-building.
Client Assessment: Group Piex Limited does not take on SEO clients without first conducting a thorough assessment of their current search rankings, online presence and SEO history. This is to help us to have a clear understanding of any existing issues, such as negative citations or potential damage caused by negative SEO attacks. In cases where a client’s business has been negatively impacted by poor SEO practices or competitor sabotage, additional work may be required to clean up the damage. The success of such clean-up efforts cannot be guaranteed, especially if the issues are extensive or deeply rooted.
Negative SEO Attacks: Group Piex Limited is not liable for any negative SEO attacks or sabotage carried out by third parties or competitors. We will only attempt to clean up negative SEO attacks if they have occurred after our services have been engaged. Previous instances of negative SEO attacks prior to our involvement will require additional time and effort to attempt a clean-up, with no guarantee of a positive outcome due to the nature of such attacks.
24. Non-Association Disclaimer
Group Piex Limited is not affiliated with, partnered with, associated with, or endorsing Extensions Bazaar or Itechnotion.
Any past interactions or references do not constitute an ongoing relationship. Group Piex Limited does not provide, support, maintain, or take responsibility for any products, services, representations, or outcomes offered by Extensions Bazaar or Itechnotion.
Any use of Group Piex Limited’s name, branding, or implied association by third parties is unauthorized unless explicitly agreed in writing.
All inquiries, support requests, disputes, and reviews relating to Extensions Bazaar or Itechnotion must be directed to those entities directly. Group Piex Limited accepts no liability arising from their actions, services, or representations.
25. Referral Program Terms and Conditions
Group Piex Limited offers a referral program that provides financial incentives for third parties who refer new clients for website development services. By participating in this program, you (the “Referrer”) agree to the following terms and conditions:
25.1. Program Eligibility and Finders Fee
The referral program offers a finders fee that varies based on the Referrers level of involvement:
- 10% Finders Fee for direct referrals without project involvement, applicable only to website builds and redesigns (excluding maintenance or support services).
- Starting from 20% Finders Fee for referrals with project involvement, including website builds, redesigns, migrations and maintenance or WordPress Care Plan. This fee may be further adjusted depending on the scope of involvement and support level.
The program is currently available to referrers based in the UK, Europe and the USA; other regions may be considered in the future.
25.2. Referral Qualification
A referral is only considered successful when the referred client has signed an agreement with Group Piex Limited, completed their project and fulfilled all payment obligations. Group Piex Limited reserves the right to decline referrals that do not align with the company’s service offerings or standards.
25.3. Payment of Finder’s Fee
Finders fees are payable only upon full completion of the project and receipt of payment from the referred client. Payment timelines for the finder’s fee will be outlined at the time of referral acceptance.
25.4. Responsibilities of the Referrer
The Referrer agrees to assist in facilitating communication where necessary between Group Piex Limited and the referred client. The Referrer must adhere to all communication guidelines and terms set forth in our collaboration agreement.
Ongoing Revenue from WordPress Care Plans: For clients referred to our maintenance and support services, we offer ongoing revenue as part of the finders fee for as long as the client remains with Group Piex Limited. This ongoing revenue is only available to referrers who actively manage client communications, helping maintain satisfaction and smooth project operations.
25.5. Confidentiality Agreement
The Referrer agrees that any information shared regarding the referred client and their project is to remain confidential. This information should be used solely for project related purposes and should not be disclosed to third parties without written consent from Group Piex Limited. The Referrer is encouraged to maintain a professional and cooperative relationship with Group Piex Limited in managing client expectations and communications.
Group Piex Limited will adapt its involvement to meet the Referrers preferred terms, whether for short term consultation or ongoing project management, depending on the Referrers desired level of involvement.
25.6. Termination of Participation
Group Piex Limited reserves the right to terminate a Referrers participation in the program if any terms are breached or if the Referrers actions are deemed detrimental to the client relationship or company interests.
25.7. Amendments to the Referral Program
Group Piex Limited reserves the right to amend or discontinue the referral program at any time. Any changes will be communicated to active participants in the program.
26. Premium Theme and Plugin Licenses
As part of our website packages, hosting or WordPress Care Plan services, Group Piex Limited may provide clients with access to premium third-party themes and plugins free of charge. These licenses are valid only while the client continues to use our hosting or maintenance services.
If a client chooses to move their website away from our infrastructure or terminate services with Group Piex Limited, these licenses will no longer be valid. In such cases, clients must purchase their own licenses to ensure continued functionality and updates. We will fully assist with the transition process and provide guidance on how to replace or maintain licensing continuity.
Group Piex Limited is not responsible for any disruption, loss of functionality or security issues arising from expired or missing licenses after service termination.
27. Pricing Reviews and Adjustments
Group Piex Limited reserves the right to review and adjust pricing for all services, including hourly rates, subscription-based care plans, maintenance/support packages, and website development, as part of our annual review process.
Any price adjustments will be made in line with market conditions, inflation, operational costs, and the scope or complexity of the services offered.
Clients will receive a minimum of three (3) full months’ written notice before any price increase takes effect. This notice period allows clients sufficient time to review or discuss the change and, where applicable, cancel an ongoing service in accordance with the cancellation provisions applying to that service.
If the client chooses to continue services after the notice period, the updated pricing will automatically apply from the effective date of the new rates.
28. Domain Registration, Management and Renewals
Group Piex Limited may, upon request, register and manage domain names on behalf of clients. By instructing us to register or manage a domain, the client agrees to the following terms:
28.1 Domain Registration and Renewal Fees
All domain registrations and renewals include a minimum 20% service and management markup on top of the registrar’s base price.
This markup may be reviewed annually in line with operational costs, registrar pricing changes and inflation.
Clients will be notified in advance of any price adjustments, in accordance with our pricing review policy.
28.2 Auto-Renewal and Payment Responsibility
Where we manage a domain, domains may be placed on auto-renew to prevent accidental expiry.
The client remains responsible for ensuring invoices for renewals are paid on time.
Renewals are only guaranteed when invoices are paid before the renewal date; failure to do so may result in permanent loss of the domain, for which Group Piex Limited accepts no liability.
28.3 Ownership and Control
All domains registered or managed on behalf of the client remain the legal property of the client.
Transfer of domain ownership, registrar changes, or DNS updates will be carried out upon written request, subject to any outstanding payments being settled.
28.4 Registrar Errors and Third-Party Issues
Group Piex Limited acts solely as a facilitator when registering or managing domains.
We are not responsible for registrar outages, system errors, failed renewals, delays, or any technical issues caused by the registrar or third-party domain providers.
In the event of issues, we will make reasonable efforts to liaise with the registrar and assist in resolving the matter, but we do not guarantee outcomes.
28.5 Client Responsibility for Accurate Information
Clients must ensure all domain-related information provided to us (legal name, organisation details, contact email, address, etc.) is accurate and up to date.
Incorrect or outdated information may result in registrar issues that are outside our control.
28.6 Liability and Refunds
Group Piex Limited’s total liability for any domain-related issue (including failed registration, renewal failure, or accidental lapse) is strictly limited to the fees the client has paid us for that specific domain service.
We do not accept liability for indirect or consequential losses, including business interruption, SEO impact, branding loss, or financial damages caused by domain expiry or registrar errors.
Refunds, where applicable, will never exceed the amount paid for the specific domain service.
28.7 Transfers Away
Clients may request the transfer of their domain to another registrar at any time, provided all outstanding invoices relating to the domain and associated services have been paid in full. Transfer times vary depending on the registrar and are outside our control.
28.8 Domain Transfer-Away Fees
Clients may request the transfer of their domain(s) away from Group Piex Limited at any time, provided all outstanding invoices relating to the domain and associated services have been fully paid.
A standard transfer-away administration fee of £35–£50 per domain applies.
This fee covers security verification, registrar coordination, release of the domain, and the administrative time required to process the transfer securely.
Where a domain transfer requires significant additional work, including, but not limited to, DNS reconstruction, migration of complex DNS records, linked service dependencies (e.g., email providers, subdomains, third-party SaaS integrations), or urgent/expedited processing, a complex transfer fee of £75–£120 per domain may apply.
Any complex transfer fee will be communicated and agreed with the client before work begins.
Domain transfers cannot be initiated until any overdue balances are settled in full.

We provide website development, hosting, marketing, SEO, and related services. We also connect clients with overseas developers - but we do not handle their payments or take responsibility for their work.
Your responsibilities:
- Security first - You must use strong passwords, store them in a secure, reputable password manager, enable two-factor authentication (2FA), and obtain our written approval before installing any WordPress plugins or themes on our hosting.
- Provide materials on time - Delays on your part may delay delivery.
- Pay on time - Late payments may incur interest, debt recovery costs, or suspension of services.
- Check payment details by phone - We will never change our bank details via email.
Hosting & security:
- We keep hosted sites secure but we can't guarantee zero risk.
- If a website we actively support appears to have been compromised, we'll assess the problem and help determine the appropriate response. Extensive cleanup or recovery work may be separately chargeable depending on the Care Plan or service in place.
- We aren't responsible for security breaches caused by weak passwords, unapproved plugins, or third-party hosting vulnerabilities.
- Failure to follow these security rules may result in immediate suspension or termination of hosting.
- Failure to comply with these measures is a material breach of our terms.
Code ownership:
- Unless agreed otherwise in writing, we own the custom code we create but will licence it to you for your project. Exclusive rights cost extra.
- If you have paid in full for written content, images, or other non-code creative deliverables we created for you, ownership of those specific deliverables will transfer to you if you stop using our services.
Refunds & products:
- Refunds for third-party marketplace products must be handled via that marketplace.
- We take action against piracy and unlicensed use of our products.
Payments & finance:
- We offer Klarna and other payment plans, subject to approval.
- We may charge interest on late payments.
- You are responsible for paying only to our official accounts.
Pricing & reviews:
- We review our pricing yearly (hourly rates, subscriptions, and development services).
- Any price increase comes with at least 3 months' written notice. Care Plans have an initial 3-month minimum term and can then be cancelled with 30 days' written notice.
- Continuing services after the notice period means you accept the updated rates.
SEO services:
- We work on a best-effort basis - results aren't guaranteed.
- We don't do paid link-building and aren't liable for negative SEO attacks.
Domain Registration & Management:
- We can register and manage domains for you, including auto-renew.
- A 20% management markup applies to all domain registrations and renewals (may increase yearly).
- You remain responsible for paying renewal invoices on time; we are not liable if a domain expires due to late payment or registrar errors.
- Our liability for domain issues is strictly limited to the amount you paid for the domain service.
- We'll assist with any registrar issues, but outcomes are not guaranteed.
Domain Transfers:
- Transferring your domain away incurs a standard admin fee of £35–£50 per domain.
Complex or urgent transfers may cost £75–£120, depending on the work involved.
Legal & liability:
- Our liability is limited to the fees you've paid us for the service in question.
